Terms & Conditions – Platform Users

These Terms and Conditions ("Terms") govern your access to and use of the ZORY platform, including the website, applications, dashboards, AI design generation tools, furniture search tool, and related support channels ("Platform" or "ZORY").

The Platform is owned and operated by Prosperity Aura ("Company", "we", "us", or "our"). ZORY provides tools for AI-powered interior space design, visual presentation, product recommendation and product discovery, intended for individuals, companies, and agencies using the Platform's features.

By accessing, registering for, subscribing to, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you use the Platform on behalf of a company, agency, or legal entity, you represent that you are authorized to bind such entity, and the term "you" includes that entity.

If you do not agree to these Terms, you must immediately stop using the Platform.

Article 1 – Definitions

  • "Account" means the account created by the user to access the Platform.
  • "AI Design" means any image, plan, visualization, product arrangement, room visualization, or any output generated or assisted by ZORY's artificial intelligence systems based on the user's content, preferences, or inputs.
  • "Outputs" means any design, recommendation, generated image, or result displayed or made available through the Platform.
  • "User Content" means any image, room photo, plan, design description, preference, file, measurement, or content uploaded or provided by the user to ZORY.
  • "Plan" means any free, trial, paid, monthly, or annual subscription or access plan offered by ZORY, as described on the pricing page.
  • "Subscription" means the paid contractual relationship between you and the Company under the selected Plan.
  • "User" means any person or entity that accesses or uses the Platform, whether an individual, company, or agency.

Article 2 – Scope of Terms and Eligibility

These Terms apply to all use of the Platform's features, whether free, paid, or trial-based.

You must be at least eighteen (18) years old and have the legal capacity to enter into binding contracts.

If you register on behalf of an entity, you must be duly authorized to do so.

ZORY may refuse, suspend, or terminate registration or access if the eligibility requirements are not met, or where there is a reasonable suspicion of misuse, fraud, or breach.

Article 3 – Accounts and Registration

  • You must provide accurate, complete, and up-to-date registration, payment, and contact information.
  • You are responsible for maintaining the confidentiality of your login credentials and for not sharing them or allowing unauthorized access.
  • You must immediately notify ZORY of any unauthorized access, security incident, or loss of login credentials.
  • You are responsible for all activities carried out through your Account.

Article 4 – Plans, Features, and Credits

ZORY may offer different Plans with different features, limits, service levels, and credits, and all benefits and service levels are described on the pricing page.

Any use described as "unlimited" is subject to technical capacity, fair use, and anti-abuse controls designed to protect the service and other users.

ZORY may add, remove, or modify any feature, AI model, tool, or credit system at any time.

Unused credits or quotas, if any, are non-refundable, non-transferable, and non-redeemable for cash, and do not roll over after expiry unless expressly stated otherwise.

Article 5 – Payments and Billing

Payments are processed through licensed electronic payment service providers, and their terms and conditions apply in addition to these Terms.

Fees are payable in Saudi Riyals (SAR), or in US Dollars for users outside Saudi Arabia, unless otherwise stated.

Value Added Tax applies at the statutory rate, currently fifteen percent (15%) in the Kingdom of Saudi Arabia, as shown at checkout or in the invoice.

Monthly subscriptions renew automatically each month unless cancelled in accordance with these Terms. Annual subscriptions are paid upfront for the full term.

If payment cannot be collected, ZORY may retry collection within three (3) business days, and may terminate the Subscription if the payment remains unpaid after seven (7) calendar days from the failed charge.

ZORY issues tax invoices, where applicable, in accordance with the requirements of the Zakat, Tax and Customs Authority in the Kingdom of Saudi Arabia (ZATCA), and the applicable e-invoicing requirements. Invoices include the required statutory information, including the Company's tax number and the details of the relevant Plan, Subscription, or service.

The user acknowledges that invoices may be issued electronically and sent by email, displayed inside the Account or dashboard, or delivered through any electronic method adopted by ZORY from time to time.

Article 6 – Refunds, Cancellation, and Renewal

6.1 Refund Window
A refund may be requested within one (1) calendar day from the start or renewal date of the Subscription, based on the time zone of the Kingdom of Saudi Arabia, only if the customer has not used any feature of the Platform — meaning that no AI Design has been generated, the furniture search tool has not been used, and no other feature has been used — and provided that the request is submitted through the official support channel.

6.2 Non-Refundable Cases
Refunds are not available for: any request submitted after more than one (1) calendar day; any case where any design feature or furniture search tool has been used even once; annual subscriptions after payment or activation; promotional or discounted plans unless otherwise expressly stated; accounts suspended or terminated due to breach; change of mind, non-use, business closure, or failure to cancel before renewal.

6.3 Monthly Cancellation
A monthly Subscription may be cancelled through the dashboard or the official support channel. To stop renewal, the cancellation request must be submitted at least five (5) calendar days before the next renewal date. If the request is submitted after that deadline, the Subscription may renew for the following month and the renewed amount shall be non-refundable. Access continues until the end of the paid term.

6.4 Annual Subscriptions
Annual subscriptions are offered at a discounted price in exchange for an annual commitment, and are binding and non-cancellable and non-refundable from the date of payment or activation.

6.5 Approved Refunds
Approved refunds are processed within seven (7) to ten (10) business days and returned to the original payment method where technically possible. Payment gateway, banking network, or transfer fees may be deducted where permitted by law.

Article 7 – AI Design Policy

ZORY uses artificial intelligence, automation, image processing, and recommendation logic to generate or assist in generating Outputs. Designs are provided for inspiration, visualization, planning, product discovery, and decision support purposes, and do not constitute specialized architectural, engineering, structural, legal, or design advice.

AI Outputs may contain errors, distortions, unrealistic arrangements, inaccurate colors or measurements, unavailable products, or visual differences from physical reality.

The user must verify all measurements, dimensions, materials, product suitability, inventory, prices, delivery terms, and installation requirements before purchasing, publishing, implementing, or relying on any Output.

Because AI systems may generate similar Outputs for different users, similar or identical designs, patterns, rooms, colors, or furniture arrangements may be generated for other users, and ZORY does not guarantee the uniqueness or exclusivity of any Output.

Article 8 – Ownership of Outputs and Usage Rights

The user has the right to use the Outputs generated through their Account for personal or commercial purposes, while ZORY retains all intellectual property rights in the Platform, models, algorithms, software, and recommendation systems. Due to the nature of artificial intelligence, ZORY does not guarantee the exclusivity or uniqueness of any Output.

Article 9 – User Content and License

You retain ownership of the User Content that you lawfully upload, and you are solely responsible for it. You represent that you have all rights and permissions necessary to upload and process such content through ZORY.

By providing User Content, you grant ZORY a worldwide, non-exclusive, royalty-free license to host, store, copy, process, modify, display, and create derivative works from such content to the extent reasonably necessary to operate the Platform, generate Outputs, provide support, and improve the service.

ZORY may use uploaded images for training and improving its artificial intelligence systems. Such images are not sold and are not used as standalone commercial or marketing material.

When uploading images of spaces, properties, or content relating to a third party, such as the clients of a company or agency, the user bears full responsibility for having the necessary rights and consents. ZORY assumes no liability in this regard and does not require prior approval from it.

ZORY may remove, reject, or restrict User Content whenever it reasonably considers such content to be unlawful, unsafe, infringing, misleading, or in breach of these Terms.

Article 10 – Intellectual Property

The Platform, including all of its software, interfaces, models, algorithms, visual designs, trademarks, and recommendation systems, is owned by or licensed to ZORY and is protected under intellectual property laws.

Except for the limited rights expressly granted under these Terms, no intellectual property rights are transferred to you, and you may not copy, modify, sell, sublicense, or reverse engineer the Platform.

Article 11 – Acceptable and Prohibited Use

Acceptable use means using ZORY for lawful interior visualization, personal planning, design decision support, and furniture discovery, within the rights of the applicable Plan.

Prohibited use includes:
  • Violating Saudi laws, public morals, intellectual property rights, or privacy rights.
  • Uploading fraudulent, misleading, unlawful, infringing, or abusive content.
  • Attempting to hack, scan, disrupt, reverse engineer, bypass, or scrape the Platform or its data.
  • Introducing malware, harmful code, or unauthorized scripts.
  • Using ZORY's Outputs, prompts, or recommendation logic to train or operate a competing service.
  • Sharing accounts, reselling access, or sublicensing without permission.
Violations may result in immediate suspension or termination without refund.

Article 12 – Data Protection and Privacy

ZORY complies with applicable data protection requirements in the Kingdom of Saudi Arabia where applicable. The published Privacy Policy explains how personal data is collected, used, stored, shared, and retained.

ZORY does not sell personal data to third parties for their independent commercial purposes.

ZORY may process anonymized or aggregated data for analytics, service improvement, and product development purposes.

You must not upload personal data, images of private homes, customer data, children's data, or sensitive third-party data unless you have the necessary authority and consents.

ZORY may retain certain data where retention is necessary to comply with a legal, accounting, tax, or security obligation, to protect the Company's legal rights, to resolve disputes, or to prevent fraud or misuse.

The published Privacy Policy explains the manner in which personal data is collected, used, stored, shared, and retained, as well as the user's rights in relation to such data, and forms an integral part of these Terms.

Article 13 – Service Availability and Support

ZORY seeks to provide a reliable service, but does not guarantee continuous, error-free, or permanently available access.

The Platform may be unavailable due to maintenance, updates, third-party failures, force majeure, or technical issues.

Support levels vary according to the Plan, as described on the pricing page. ZORY may make reasonable efforts to respond to official inquiries, without this constituting a guarantee of any specific resolution time.

Article 14 – Disclaimer of Warranties and Limitation of Liability

The Platform, its Outputs, designs, and tools are provided "as is" and "as available" to the maximum extent permitted by law, without any warranty that they will meet your expectations or objectives, or that their Outputs will be accurate, unique, defect-free, or suitable for a particular purpose.

ZORY shall not be liable to the user for any direct, indirect, or consequential damage arising from the use of, or reliance on, the Platform or its Outputs.

The sole and exclusive remedy in the event of a technical failure is an extension of the access period, and only in the case of a complete Platform outage. Such extension shall be equal to the duration of the complete outage and shall not apply to partial failures, slow performance, or the malfunction of a single feature.

Except for the access extension described above, ZORY does not provide any other compensation of any kind — no cash refund, no credits, and no other alternative.

Nothing in these Terms limits liability in circumstances where applicable law does not permit such liability to be excluded.

Article 15 – Indemnification

You agree to defend, indemnify, and hold harmless ZORY, its company, owners, employees, and service providers from and against any claims, damages, losses, or expenses, including reasonable legal fees, arising from: your breach of these Terms; User Content, images, or plans uploaded by you; your use, publication, or reliance on Outputs; your violation of intellectual property rights, privacy rights, or applicable laws; or unauthorized access resulting from your sharing of login credentials.

Article 16 – Suspension and Termination

ZORY may immediately suspend, restrict, disable, or terminate access, with or without notice, if it reasonably believes that you have breached these Terms, payment has failed, a chargeback has occurred, a legal, security, operational, or regulatory risk has arisen, or prohibited use has occurred.

You may terminate your Account through the dashboard or the official support channel. Termination takes effect at the end of the current paid term, unless the law or the breach requires immediate termination. Paid fees are non-refundable except as expressly provided in these Terms.

Your designs remain stored in your gallery inside your Account as long as the Account remains active, and are deleted when you delete the Account.

Article 17 – Force Majeure

ZORY shall not be liable for any delay, failure, or interruption resulting from events beyond its reasonable control, including natural disasters, wars, unrest, pandemics, government actions, internet or power outages, cyberattacks, and failures of cloud service providers, artificial intelligence providers, or payment gateways.

Article 18 – Notices and Official Communication Channel

ZORY may provide notices through the Platform, dashboard, email, or website, and you are responsible for keeping your contact information updated.

Official refund requests, complaints, and contractual requests must be submitted through the official channel: support@zory.ai.

Article 19 – Price Changes

Plan prices may change from time to time, and updated prices will be published on the pricing page. You are responsible for reviewing them. A price change does not affect your current Subscription during its term, and applies only to the next renewal.

Article 20 – Amendments to the Terms

ZORY may update these Terms from time to time, and the updated version will be published on the website or dashboard. Unless otherwise stated, updates take effect upon publication, and your continued use of the Platform after they become effective constitutes acceptance of them.

Article 21 – Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia. The parties shall first seek to resolve any dispute amicably within thirty (30) calendar days. If this is not possible, the competent courts in the city of Riyadh shall have jurisdiction to decide the dispute.

Article 22 – General Provisions

These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and ZORY regarding the use of the Platform's features.

If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in effect, and the invalid provision shall be replaced with a lawful provision that reflects the original commercial intent as closely as possible.

Failure to enforce any provision shall not constitute a waiver of rights. You may not assign your rights or obligations without ZORY's prior written consent, while ZORY may assign them as part of a restructuring, merger, or acquisition.

The Arabic version is the official and controlling version. The English version is provided for convenience only, and in the event of any conflict, the Arabic version shall prevail.
