Terms & Conditions

Please read these terms and conditions carefully before using ZORY. By accessing or using our services, you agree to be bound by these terms.

These Terms and Conditions ("Terms") govern your relationship with the ZORY platform ("Platform" or "ZORY"), a service owned and operated by ZORY AI ("Company"). ZORY provides AI-powered solutions for interior space design and product showcasing for merchants, real estate developers, and individual users across the Middle East and North Africa region.

By using or registering on the Platform, you confirm that you have read, understood, and fully agree to be bound by these Terms. If you are representing a legal entity, your acceptance binds that entity as well. If you do not agree to any of these Terms, please stop using the Platform immediately.

These Terms apply to all users — whether merchants or individuals — and are supplemented by the Privacy Policy available on the website, which forms an integral part of this agreement.

Article 1 — Definitions

The following terms carry the meanings defined below throughout this agreement:
  • Platform: ZORY's website, applications, APIs (Application Programming Interfaces), and all services delivered through them.
  • Merchant: Any natural or legal person subscribing to a paid plan for the purpose of showcasing their products and driving sales through the Platform.
  • User: Any person using the Platform for personal or commercial purposes under a free plan or any other available plan.
  • AI Design: Any design or decor recommendation generated by ZORY's artificial intelligence system based on user inputs.
  • Subscription: The paid contractual relationship between the user and the Company under a selected subscription plan.
  • Design Utilization: Includes downloading a design, sharing it, using it to inform a purchase decision, presenting it to a third party, or referencing it in any commercial or personal context.
  • Subscription Fees: The amounts due in exchange for use of the Platform under the selected plan.
  • Company: Prosperity Aura Company, owner and operator of the ZORY platform.
  • ZATCA: The Zakat, Tax and Customs Authority of the Kingdom of Saudi Arabia.

Article 2 — Eligibility

To use the Platform, you must meet the following requirements:
  • Be at least 18 years of age, or the legal age of majority recognized under the laws of your country.
  • Have the legal capacity to enter into binding contracts under applicable regulations.
  • If registering on behalf of a company or institution, be duly authorized to do so.
  • Not be subject to any ruling or regulatory order prohibiting you from engaging in electronic commerce.
ZORY reserves the right to reject registration requests or terminate accounts upon confirmed violation, without prior notice.

Article 3 — Accounts & Registration

Upon registration, you agree to:
  • Provide accurate, complete, and up-to-date information at all times.
  • Keep your login credentials confidential and not share them with any third party.
  • Notify ZORY immediately upon becoming aware of any security breach or unauthorized use of your account.
ZORY is not liable for any losses resulting from the user's failure to protect their account credentials.

Article 4 — Payments & Invoicing

4.1 Payment Processing
All payments are processed through licensed third-party electronic payment service providers, and their terms apply alongside these Terms. You agree to:
  • Use only a payment method that is lawful and under your legal control.
  • Settle all amounts due in Saudi Riyals (SAR), inclusive of Value Added Tax (VAT) at the applicable rate of 15%, in compliance with ZATCA requirements.
  • Ensure invoices include the Company's Tax Registration Number and comply with Saudi e-invoicing requirements (FATOORAH).
4.2 Billing Cycle
  • Monthly Subscription: Billed on the first day of each calendar month, or from the subscription start date. Renews automatically unless cancelled per these Terms.
  • Annual Subscription: Billed once, in full, upfront at a discounted rate announced at subscription. Cancellation is not permitted after payment (see Article 8).
4.3 Payment Failure
If subscription fees cannot be collected for any reason, ZORY reserves the right to:
  • Temporarily suspend the account until the outstanding balance is settled.
  • Automatically retry the charge within 3 business days.
  • Terminate the subscription if no payment is received within 7 days of the failed charge.

Article 5 — AI Design Policy

5.1 Design Utilization & Non-Refundability
The user is not entitled to a refund of any amounts paid once Design Utilization has occurred as defined in Article 1. This applies from the moment a design is generated, even if generated solely for trial purposes.

These restrictions are effective from the moment the user accesses the design in their account on the Platform, regardless of any claim of non-actual use thereafter.

5.2 Design Ownership
All designs generated by ZORY's artificial intelligence are the property of the Company with respect to the underlying models and algorithms. However, the user has the right to use the outputs of their generated designs within the scope of their subscription.

Article 6 — Refund Policy

6.1 Eligible Refund Window
A user may request a refund within 7 calendar days from the subscription start date or renewal date, provided that:
  • The user has not utilized any AI Design as defined in Article 1.
  • A formal written request is submitted through ZORY's official support channel.
  • The request is supported by a documented technical reason or a clear service deficiency.
6.2 Non-Refundable Cases
Refund requests will not be accepted in the following cases:
  • Requests submitted more than 7 days after the subscription start or renewal date.
  • Any instance where Design Utilization has occurred, even once.
  • Annual subscription plans after activation (see Article 8).
  • Promotional or discounted plans, unless the offer explicitly states otherwise.
  • Accounts terminated by ZORY due to a Terms violation.
6.3 Refund Processing
Approved refunds are processed within 7-10 business days and returned to the original payment method. ZORY reserves the right to deduct applicable bank processing fees from the refunded amount.

Article 7 — Monthly Subscription Cancellation

Users may cancel their monthly subscription subject to the following conditions:
  • The cancellation request must be submitted at least 5 days before the monthly renewal date.
  • If submitted after this period, the subscription will automatically renew for the following month and the full amount will be charged. No refund will be accepted in this case.
  • Once cancellation is confirmed, access to the Platform continues until the end of the paid period.
  • Cancellation does not entitle the user to a refund for the current billing period.
Example: If the renewal date is June 1, the cancellation request must be submitted on or before May 27. Any request submitted after that date will generate a full June invoice, which is non-refundable.

Article 8 — Annual Subscription & Non-Cancellation Policy

Annual subscriptions are offered at a promotional discount compared to the equivalent monthly rate over a year. By agreeing to this subscription, you acknowledge and accept that:
  • The annual subscription is binding and non-cancellable from the date of payment.
  • No portion of the annual subscription fee is refundable, regardless of actual usage duration.
  • The commercial rationale for non-cancellability is the exceptional discount granted in exchange for the annual commitment, which you accepted.

Article 9 — Price Changes & Plan Modifications

ZORY reserves the right to modify subscription pricing or plan features at any time.

Article 10 — Intellectual Property Rights

All content, trademarks, models, algorithms, software, and designs published on the Platform are the exclusive property of ZORY or are licensed to it.

Users retain ownership of the content they upload to the Platform (e.g., images, floor plans), while granting ZORY a license to use such content for training and service operation purposes.

Article 11 — Data Protection & Privacy

ZORY complies with data protection requirements under the Personal Data Protection Law (PDPL) of the Kingdom of Saudi Arabia, issued by Royal Decree No. M/19 of 1443H. This includes:
  • Collecting personal data solely for operating and improving the service.
  • Not selling or sharing personal data with third parties for external commercial purposes.
  • Enabling users to request access to, correction of, or deletion of personal data as permitted by applicable law.
  • Maintaining recognized information security standards to protect data from unauthorized access.
The Privacy Policy published on the website is an integral part of these Terms.

Article 12 — Acceptable & Prohibited Use

12.1 Acceptable Use
Users may use the Platform for lawful purposes consistent with the nature of the service, including:
  • Showcasing products and designing spaces for sales or personal planning purposes.
  • Integrating merchant products into AI designs to enhance purchase decisions.
  • Using design outputs within the scope of a paid subscription.
12.2 Prohibited Use
The following are strictly prohibited for all users:
  • Using the Platform for any activity that violates Saudi regulations or general ethical standards.
  • Uploading fraudulent, misleading, or third-party intellectual property-infringing content.
  • Attempting to hack or disable ZORY's systems or introducing malicious software.
  • Using the Platform to generate content that violates public morality or applicable religious standards.
Violations will result in immediate account termination without refund.

Article 13 — Disclaimer of Warranties & Limitation of Liability

ZORY's services are provided "as is." The Company makes reasonable efforts to ensure service quality but does not warrant that:
  • AI-generated designs will fully meet user expectations or be error-free.
  • The service will be available continuously without interruption due to maintenance or force majeure.
  • Dimensions and colors shown in designs will precisely match the physical product.
In no event shall ZORY's total liability exceed the aggregate subscription fees paid by the user during the three months preceding the incident in dispute.

Article 14 — Termination

ZORY may terminate or suspend an account under the following circumstances:
  • Breach of any provision of these Terms.
  • Submission of false or misleading registration information.
  • Failure to pay subscription fees.
  • Use of the Platform for prohibited purposes.
Users may terminate their account at any time through the account dashboard. Termination takes effect at the end of the current paid period, and fees already paid are non-refundable except as explicitly provided in these Terms.

Article 15 — General Provisions

If any provision of these Terms conflicts with applicable Saudi laws or regulations, the statutory provision shall prevail without affecting the validity of the remaining Terms.

Failure by either party to exercise any right under these Terms shall not constitute a waiver of that right.

These Terms constitute the complete and binding agreement between the parties and supersede all prior agreements or arrangements.
